By accessing or using MSGTODAY ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, users, and others who access the Service. If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.
MSGTODAY reserves the right to update these Terms at any time. We will notify you of material changes via email or a notice within the Service. Your continued use after such changes constitutes acceptance of the revised Terms.
2. Description of Service
MSGTODAY provides a cloud-based platform that enables businesses to integrate and use the WhatsApp Business API ("API Platform") as provided by Meta Platforms, Inc. Our services include:
- REST API access for sending and receiving WhatsApp messages
- Template creation, management, and submission to Meta for approval
- Webhook event delivery and management
- Analytics, reporting, and a management dashboard
- Developer SDKs, documentation, and technical support
MSGTODAY is an independent platform and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. Your use of the WhatsApp platform is also subject to Meta's own policies.
3. Account Registration
To access the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately at security@msgtoday.com if you suspect any unauthorised access.
You must be at least 18 years old to create an account. By registering, you represent that you meet this requirement and that you are not a competitor attempting to access the Service for competitive purposes.
4. Acceptable Use Policy
You agree not to use the Service to:
- Send spam, unsolicited messages, or messages to contacts who have not opted in
- Transmit illegal, fraudulent, threatening, abusive, or defamatory content
- Violate any applicable laws, including data protection regulations (GDPR, PDPA, DPDP Act)
- Impersonate any person or entity or misrepresent your affiliation
- Attempt to reverse-engineer, decompile, or derive source code from the Service
- Use the Service in any manner that could damage, overburden, or impair our infrastructure
- Resell or sublicense access to the API without a written reseller agreement
Violation of this policy may result in immediate suspension or termination of your account without refund.
5. WhatsApp API Compliance
You acknowledge that use of the WhatsApp Business API is subject to Meta's Business Terms, Commerce Policy, and WhatsApp Business Policy. You are solely responsible for ensuring your messaging use cases are permitted under Meta's policies. MSGTODAY reserves the right to restrict or suspend your API access if Meta flags your account for policy violations.
You must obtain and maintain appropriate consent from message recipients as required by applicable law and Meta's policies. Failure to maintain opt-in records is grounds for account termination.
6. Billing & Payments
Fees are charged monthly in advance for your plan tier. Conversation-based charges are billed in arrears per the Meta rate card applicable in your region. All fees are exclusive of GST and other applicable taxes, which will be added to your invoice.
Payments are due within 15 days of invoice. Overdue accounts may be suspended after 7 days' notice. Disputed charges must be raised within 30 days of the invoice date. Except as required by law, subscription fees are non-refundable.
7. Data & Privacy
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. You act as a data controller for your customers' data; MSGTODAY acts as a data processor. A Data Processing Agreement (DPA) is available upon request for enterprise customers.
8. Intellectual Property
All intellectual property rights in the Service, including but not limited to software, documentation, and branding, remain the exclusive property of MSGTODAY. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes only.
9. Limitation of Liability
To the maximum extent permitted by law, MSGTODAY shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you in the 3 months preceding the claim.
10. Termination
You may cancel your account at any time by providing 30 days' written notice or via the in-dashboard cancellation flow. MSGTODAY may terminate or suspend your access immediately for cause, including breach of these Terms or non-payment. Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days after termination before permanent deletion, unless a shorter period is required by law.
11. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Kolkata, West Bengal. For consumers in the EU, this does not affect your statutory rights under local law.
